Terms & Conditions

1. Definitions

  • “Colab” means Colab Research Labs, a product of AZM X Product, registered at Tuwaiq Gate, King Fahd Rd, Ar Rahmaniyyah, Riyadh 12343, Kingdom of Saudi Arabia.
  • “Client” means the legal entity entering into these Terms to access the Services.
  • “Platform” means app.letscolab.space and related domains.
  • “Services” means Colab’s UX-research platform, laboratory facilities, participant recruiting, and reporting offerings.
  • “Study” means a single usability test, interview, audit, or other research engagement requested by Client.
  • “Credits” mean the unit of measure displayed in the Platform representing entitlement to research activities (e.g., participant minutes).

2. Acceptance

By clicking “I agree,” executing an order form, or using any part of the Services, Client accepts these Terms. If the Client does not agree, it may not access the Services.

3. Scope of Services

Colab grants Client a non-exclusive, non-transferable right to access the Platform and laboratory research resources during the subscription term for Client’s internal business purposes.

4. Subscription Plans, Fees & Payment

  1. Plans are billed annually in advance. Payment is due within 30 days of invoice.
  2. Client may upgrade to a higher tier at any time; fees will be prorated. No downgrades or refunds are permitted during the current term.
  3. Credits expire at the end of the subscription term if unused.

5. Scheduling & Cancellation

  • Client may request Study dates via the Platform; Colab will confirm scheduling in writing.
  • Cancellation or rescheduling less than 48 hours before a Study may result in credit forfeiture equal to the booked session.

6. Confidentiality & Non-Disclosure

  1. Each party shall protect the other’s confidential information with reasonable care and use it only to fulfil these Terms.
  2. Colab secures a separate NDA from all research participants covering prototypes or sensitive content demonstrated during a Study.

7. Data Protection

Both parties shall comply with the Saudi Personal Data Protection Law (“PDPL”), EU General Data Protection Regulation (“GDPR”), and Colab’s Privacy Policy.
Client represents that any personal data it uploads has a lawful basis for processing.

8. Intellectual Property

  • Client retains ownership of all materials it supplies.
  • Colab retains ownership of pre-existing IP and background technology.
  • Upon full payment, Colab grants Client a perpetual, worldwide, non-exclusive licence to use study reports, videos, and deliverables internally.

9. Deliverables

Deliverables include: Findings Report (PDF), Severity-Ranked Issue Matrix (Excel/CSV), HD Session Recordings, and Highlight Reel, unless otherwise stated in the order form.

10. Limitation of Liability

To the maximum extent permitted by Saudi law, Colab’s aggregate liability arising out of or related to these Terms shall not exceed the fees paid by Client to Colab in the twelve (12) months preceding the claim.
Colab shall not be liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

11. Force Majeure

Neither party shall be liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, epidemics, governmental action, or network outage.
Obligations are suspended for the duration of the event.

12. Suspension

Colab may temporarily suspend access to the Platform for (a) non-payment, (b) security risk, or (c) compliance with applicable law. Colab will give advance notice where practicable.

13. Term & Termination

  • These Terms remain in effect so long as Client maintains an active subscription.
  • Either party may terminate for material breach not cured within 30 days’ written notice.
  • Upon termination, Client’s access becomes read-only; Colab will delete Client data on written request, subject to legal retention obligations.

14. Governing Law & Venue

These Terms are governed by the laws of the Kingdom of Saudi Arabia.
Any dispute shall be submitted to the exclusive jurisdiction of the courts of Riyadh.

15. Changes to Terms

Colab may update these Terms by posting a revised version on the Site and providing 30 days’ prior notice via e-mail or in-app banner. Continued use of the Services constitutes acceptance of the updated Terms.
